These terms govern your use of Properliance. Please read them carefully.
Properliance is operated by Vyrovo Ltd("we", "us"). These terms form an agreement between Vyrovo Ltdand the organisation or individual using the service ("you"). By creating an account or using Properliance, you agree to these terms.
Vyrovo Ltd.
Properliance provides property-compliance management software for UK landlords and letting agencies — including document storage, compliance tracking, reminders and reporting. It is a tool to help you organise and monitor compliance; it does not constitute legal advice, and you remain responsible for meeting your own legal and regulatory obligations.
You must provide accurate account information and keep your login credentials confidential. You are responsible for all activity under your account and for the actions of users you invite. Notify us promptly of any unauthorised access.
Properliance is provided on a subscription basis. New accounts include a free trial (its length is shown at signup). Payment details are collected at signup; no charge is made during the trial, and the subscription activates automatically when the trial ends unless you cancel beforehand. Upgrades, downgrades and add-ons take effect as described at the point of purchase. Fees are billed in advance through our payment provider. We may change prices on reasonable notice, effective from your next billing cycle.
You may cancel or request account closure at any time from your account settings. Cancellation stops future renewals; access continues until the end of the period you have paid for. Except where required by law, fees already paid are non-refundable for partial periods.
Requesting account closure starts a 30-day grace period. You (or, at your request, our team) can cancel the closure at any time during that window by signing in and selecting "Cancel closure". If the request is not cancelled, at the end of the 30 days your organisation and all associated data, files, records and user accounts are permanently and irreversibly deleted. Export any data you wish to keep before the grace period ends.
You are responsible for the accuracy and lawfulness of the data you upload. You agree not to use Properlianceunlawfully, to infringe others' rights, to upload malicious code, or to attempt to gain unauthorised access to the service or other accounts.
You retain ownership of the content you upload. We process personal data as described in our Privacy Policy, which forms part of these terms. You are responsible for having a lawful basis to upload any personal data about third parties (for example tenants).
Properliance and all related software, branding and content are owned by Vyrovo and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the service for your business for the duration of your subscription.
We aim to keep Properlianceavailable and reliable, but the service is provided on an "as is" and "as available" basis. We may carry out maintenance and may modify or discontinue features, giving reasonable notice of material changes where practicable.
Nothing in these terms excludes liability that cannot be excluded under law. Subject to that, Properliance is not liable for indirect or consequential loss, and our total liability arising from the service is limited to the fees you paid in the 12 months before the event giving rise to the claim. Properliance does not constitute legal or compliance advice and you remain responsible for your regulatory obligations.
We may suspend or terminate access for serious or repeated breach of these terms, or for non-payment, where appropriate after notice. On closure, data is permanently deleted after the 30-day grace period described in section 5 and our Privacy Policy.
We may update these terms from time to time. We will notify you of material changes; continued use of Properliance after a change takes effect means you accept the updated terms.
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
